Terms of Service

These Terms of Service (“Terms”) govern your access to and use of PostPane’s website, applications, and related services (the “Services”) operated by PostPane (“we,” “our,” or “us”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Eligibility and accounts

You must be able to form a binding contract in your jurisdiction to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

License to use the Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal creative purposes. You may not resell, scrape, reverse engineer, or misuse the Services except as expressly permitted by law.

Your content

You retain ownership of content you submit to the Services (“Your Content”). You grant us a worldwide, non-exclusive license to host, process, display, and distribute Your Content solely as needed to operate and improve the Services and provide features you request (including AI-assisted generation where applicable).

You represent that you have the rights necessary to submit Your Content and that it does not violate third-party rights or applicable law. We may remove content or suspend access where we reasonably believe it violates these Terms or creates liability for us or others.

AI-generated output

Where the Services offer artificial-intelligence features, outputs may be inaccurate or inappropriate for your use case. You are responsible for reviewing, editing, and ensuring outputs comply with law and platform rules before publishing or relying on them. AI outputs are not professional advice.

Acceptable use

You agree not to:

• Use the Services in violation of law or third-party rights;
• Transmit malware, attempt unauthorized access, or interfere with the integrity or performance of the Services;
• Generate or distribute unlawful, defamatory, harassing, or infringing material;
• Circumvent usage limits, billing, or security controls, or use automated means to access the Services in bulk without permission.

Third-party services

The Services may integrate with third-party platforms (for example, social networks). Your use of those platforms is subject to their terms and policies. We are not responsible for third-party services.

Fees

Certain features may require payment. Fees, taxes, and billing cycles will be presented at purchase or in your account settings. Unless stated otherwise, fees are non-refundable except where required by law or our refund policy.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER APPLICABLE LAW.

Indemnity

You will defend and indemnify us against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from Your Content, your use of the Services, or your breach of these Terms, except to the extent caused by our gross negligence or willful misconduct.

Termination

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms or if we need to comply with law or protect the Services. Provisions that by their nature should survive will survive termination (including ownership, disclaimers, limitation of liability, and governing law).

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules. Exclusive jurisdiction and venue for disputes arising from these Terms will lie in the state and federal courts located in Delaware, except where prohibited by law or where you have mandatory consumer protections in your country of residence.

Changes

We may modify these Terms by posting an updated version on this page. Material changes may be communicated through the Services or by email where appropriate. Your continued use after the effective date constitutes acceptance of the revised Terms, except where applicable law requires additional consent.
